Project Description

MAG has a proven track record of successfully implementing its ethanol production model through its Blue Flint facility near Underwood, North Dakota. MAG looks to carry on this success with the development of the DSA facility in Stutsman County and bring additional jobs to the state of North Dakota. MAG will utilize Group 32 EB-5 capital for the development of the DSA ethanol biorefinery, the construction of new on and offsite horizontal infrastructure, as well as the improvement and re-commissioning of an existing power plant required to service the biorefinery and project site.

Dakota Spirit AgEnergy (“DSA”) will be a 65 million gallons per year (MGY) ethanol biorefinery located in Stutsman County, North Dakota. DSA will be co-located in immediate proximity to the Spiritwood Station 99 megawatt combined heat and power plant (CHP) and will utilize waste steam from Spiritwood Station to produce not only ethanol, but distiller’s grains and fuel-grade corn oil, thus eliminating sole reliance on ethanol for project revenue. MAG has selected McGough Industrial Construction, LLC for engineer procurement and construction of the DSA facility. The McGough contract is on a “Guaranteed Maximum Price” basis for the engineering design services, componentry, and assembly needed to complete the key 
production components of the facility. In addition, the terms of the EPC contract with McGough provides for a full construction and mechanical completion (“Complete Working System”) guarantee for the project. (the complete EPC contract will be included in the I-526 exhibits). DSA’s use 
of Spiritwood’s CHP waste steam will also eliminate the need for a natural gas boiler. Ethanol biorefineries utilizing natural gas boilers require greater upfront costs in both construction and operation, due to required maintenance and continual natural gas purchases. The use of waste steam as a method of operation for an ethanol production facility, has been previously utilized by MAG within the successful Blue Flint Ethanol Plant as mentioned above.

The ethanol to be produced by the DSA is expected to qualify as a renewable fuel (qualifying for RIN D Code Type 6) under the Environmental Protection Agency’s Renewable Fuel Standard (“RFS2”). The DSA project is fully entitled and the State of North Dakota has issued a permit to authorize construction. DSA is expected commence construction by late third quarter The Dakota Spirit AgEnergy project site near Spiritwood North Dakota will be colocated in immediate proximity to the Spiritwood Station power plant which will utilize waste steam in the production of ethanol, distiller’s grains and fuel-grade corn oil, thus eliminating the need for boilers to produce this steam. This is a tremendous cost saving measure. The Group 32 partnership was developed working in concert with Great River Energy (“GRE”), a major upper Midwest utility provider and their subsidiary Midwest AgEnergy Group, LLC (“MAG”) owner of the DSA project and a proven developer and operator in the biofuels industries. Since early 2013, representatives of GRE and MAG have been discussing and negotiating with representatives of CMB Export regarding the utilization of CMB EB-5 investor capital in the overall plans of the Dakota Spirit project, including the related infrastructure improvements necessary to bring the plant into operations. The developer, GRE, through their subsidiary MAG, has a history of completing successful ethanol production facilities, including the Blue Flint Ethanol biorefinery near Underwood, North Dakota. The Group 32 investment will be used to finance pre-development activity, horizontal and vertical construction of the Dakota Spirit AgEnergy project near the City of Spiritwood, North Dakota.
