BIO

Michael G. Homeier practices in the area of securities, corporate, transactional, and business financing law, including EB-5, investment crowdfunding, blockchain, and Opportunity Zones.  Ten years after co-founding the well-regarded boutique securities/corporate firm of Homeier Law PC (now Lexcuity PC), which handled well over 400 EB-5 securities matters, Michael has returned to a solo practice, working with select clients on a more individualized basis.  Now with over 35 years' experience in the corporate and business transactional field, both as in-house corporate counsel and with private law firms, Michael brings a deep level of legal knowledge and expertise to the EB-5 industry. He represents a number of regional centers and issuers in the EB-5 Program, and assists them with the structuring of their projects as well as the negotiation and drafting of securities, corporate, and transactional documents relevant to the EB-5 Program, such as private placement memoranda (PPMs), operating agreements, limited liability agreements, loan agreements, security agreements, subscription agreements, investor questionnaires, and escrow agreements. In addition to numerous engagements as a university law professor, Michael also actively participates in public speaking engagements, both in the EB-5, crowdfunding, blockchain, and OZone industries of business financing, and business law arenas, and as an inspirational speaker to teenaged and young adult cancer survivors (as one himself) on post-treatment life success. Michael received his J.D. from University of Southern California and his B.A. from The University of California, Los Angeles. Michael is an active member of the State Bar of California, the EB5 Securities Roundtable, the American Immigration Lawyers Association, IIUSA (the Association to Invest in the USA, the EB-5 regional center trade organzation), the United States Naval Institute, and SAG/AFTRA.
