William Rosenstadt advises entrepreneurs, public companies, and other corporate entities with respect to the execution of complex commercial, corporate, and international transactions as well as EB-5 immigration matters. Mr. Rosenstadt often acts as general counsel to his clients, providing advice with respect to representation of U.S. and foreign public corporations, private companies in public and private financings (equity and debt), federal securities law compliance, venture capital financings, and other merger and acquisition related transactions. Mr. Rosenstadt prides himself on efficiently performing the necessary legal services, considering in advance the ultimate goals and exit strategies as they relate to the particular needs of each client. His entrepreneurial background and experience have consistently provided him with the tools necessary for sensitive and empathetic handling of his clients’ needs by using a “real world” and pragmatic approach. In the few situations where a matter is outside his firm’s scope of expertise, William draws upon his extensive domestic and international network of accomplished attorneys to help assist with such matters.

Cardozo School of Law and received his J.D. in 1995, and was later admitted to the bars of New York, New Jersey, and Connecticut. He clerked with the honorable James L. Garrity in the U.S. Bankruptcy Court in the District of New York in 1996 and spent 1997 as a managing director in American Industrial Acquisition Corporation (AIAC), a private-equity firm specializing in small-cap leveraged buyouts. He was responsible for coordinating all facets of a transaction including (i) conducting and coordinating due diligence; (ii) structuring financial terms; (iii) interfacing with professionals including co-investors, attorneys, accountants, management of target; and (iv) preparation of all documents related thereto.
Mr. Rosenstadt later returned to private practice as an associate attorney in a number of corporate and securities practices with AIAC as a client before becoming a founding partner of Sanders Ortoli Vaughn-Flam Rosenstadt LLP in 2007. On a personal note, Mr. Rosenstadt spends his free time skiing, fly-fishing, and growing with his wife and three boys.
