Darwin Huang is a member of the Real Estate practice in Dentons’ New York office. Prior to joining the New York team, Darwin was a registered foreign lawyer in Dentons' Hong Kong office, where he practiced with the Corporate group.
He represents investment banks, financial institutions, multinational corporations and private equity funds in a wide range of business and commercial transactions, including banking, mergers and acquisitions, corporate finance and restructuring and project finance. His experience includes performing due diligence on transactions by private and public companies, as well as negotiating and drafting shareholders’ agreements, sale and purchase agreements, security agreements, guarantees and other contractual documentation in connection thereto.
As a complement to his corporate practice, Darwin works with banks, lenders, developers, owners, landlords and tenants to document, perform due diligence and close financing of sales and leases of real property throughout the United States. His experience includes negotiating and drafting agreements in connection with secured construction loans, permanent loans and loan modifications. He has also represented companies investing in real estate projects through the EB-5 Immigration Investor Pilot Program, including construction of hotels, casinos, condominiums, shopping centers and office buildings.
Darwin is fluent in English, Mandarin Chinese and the Taiwanese dialect.
