Osvaldo F. Torres (“Ozzie”) is a New York City law firm trained attorney with significant experience in corporate, securities and commercial matters and regularly represents issuers of securities in private placement offerings, including those related to EB-5 matters. Mr. Torres also has extensive experience in the media law and regularly represents television stations, cable operators and associations, production companies and artists.
Mr. Torres has counseled a wide variety of foreign and domestic clients including investors, purchasers and sellers in merger and acquisition transactions, issuers of publicly-traded securities and those involved in private placements, and is experienced in legal department management, litigation case strategy, coordinating lobbying efforts and organizing and conducting Board of Directors meetings.
A 1987 graduate of the University of Pennsylvania Law School where he served as Editor-in-Chief of the Penn Law Forum, Mr. Torres has over 25 years of corporate, securities and media law experience. Mr. Torres’ extensive experience qualifies him to handle a wide variety of challenging matters, including those where the interests of the client extend into or originate from Latin America and other territories. Some of the types of transactions on which Mr. Torres served as lead counsel include: registration of debt and equity securities; tender offers; purchase and sale of television stations and cable networks; the $773 million merger pursuant to which Telemundo was acquired by affiliates of Sony, Liberty Media and others; and hundreds of licensing and distribution agreements involving Latin American and U.S. based companies.
Mr. Torres’ professional experience has also included service as Senior Vice President, and General Counsel for both HBO Latin America and Telemundo Group, Inc. His law firm experience includes being a member of the corporate and securities departments of Greenberg Traurig in Miami and Schulte Roth and Zabel in New York City.
In addition to his practice, Mr. Torres has the honor of serving his community as the Secretary of the Weston Bar Association and a member of the American Bar Association Corporate Governance Committee.
