Through the activities alleged in this Complaint, the Defendants, directly or indirectly, have engaged in transactions, acts, practices or courses of business which constitute violations of Section 17(a) of the Securities Act of 1933 (“Securities Act”) [15 U.S.C. § 77q(a)] and Section 10(b) of the Securities Exchange Act of 1934 (“Exchange Act”) [15 U.S.C. § 78j(b)] and Rule 10b-5 [17 C.F.R. § 240.10b-5] promulgated thereunder. 13. The SEC brings this action and seeks relief on an expedited basis to protect and preserve whatever assets remain in the Funds and Projects, to ensure an orderly process for the conduct of the Funds’ and Projects’ business activities, to prevent future unjust enrichment of Kameli and companies he controls, and to provide for the equitable distribution of Fund and Project assets.
